The transaction is subject to the negotiation of a definitive agreement and customary due diligence procedures. The announcement was made by Bob Hall, CEO and President of Ride, Inc.

"Today, Ride is a major player in the exploding snowboarding market, due to its strong product line of respected brands and its wealth of talent," said Hall. "With the organizational changes we are announcing today and the anticipated sale of C.A.S. Ride, Inc. acquired C.A.S. Sports in August 1994. Historically, C.A.S. In addition, C.A.S. sells snowboards and related products on an OEM basis to other snowboard companies and buys excess snowboard and sporting good inventories from manufacturers and sells products to retailers throughout the world.

"With the spin-off of C.A.S. Sports' excess inventory business, we can now put all of our energy into our number one goal of being the best snowboard company in the world -- which is really our heart and soul," stated Tim Pogue, President of Ride Development. "This is good news for our consumers and our retailers, who are demanding the best that we have to offer. This will be an opportunity to re-dedicate ourselves to serving those who have been critical to our fast growth," he continued.

In the new organization structure, Ride will have six divisions headed by division presidents, all reporting to Hall. These divisions will include: Ride Winter Sports and Administration, Ride Development, Ride Manufacturing, Ride Apparel, Ride International and Ride Finance.

Prior to joining Ride, Manke lived in Russia and Poland, managing the Polish American Trade Group, a company which fosters trade between the two countries. He and Hall worked together at Salomon and Vuarnet, overseeing the expansion and growth of both companies.

Tim Pogue, a company founder, becomes President of Ride Development, the division guiding the design and development of Ride's future products. In this position, Pogue will also be the central liaison to the snowboarding industry, expanding the company's present channels of communication.

Dave Janes, Jr. continues as President of Ride Manufacturing, turning out state-of-the-art Thermalcap(TM) boards and equipment.
